The initiative eliminates the need for the entrepreneur to attend notary offices and commercial boards. The number of the National Registry of Legal Entities (CNPJ) is granted immediately after the application, with the entrepreneur being able to start activities on the same day.

Available on the National Network for the Simplification of Registration and Legalization of Companies and Businesses (Redesim), Inova Simples is available for entrepreneurs who prove the innovative nature of the activity. Companies that register through the system will be able to commercialize products and services on an experimental basis, before registering with the Board of Trade.

In order to apply, the company simply fills in a self-declaration of qualification in low-risk activity and commitment to local legislation. The business will be able to operate without licenses and permits, while the definitive registration is not released. A company already constituted, with registration and CNPJ, cannot register with Inova Simples.

Other benefits of Inova Simples are the priority in the analysis of trademark and patent applications by the National Institute of Industrial Property (Inpi) and the sharing of information with Redesim, which brings together computerized systems for the legalization of companies from the Union, states and counties.

The special procedure that allows the creation of the Simple Innovation Company was established by Complementary Law 167/2019 and regulated by Resolution 55/2020, from the Simples Nacional Management Committee. Companies need to prove that they provide innovative products, services or technologies that generate short-term results, capable of replacing goods and services available in the market.

Electronic signature

Inova Simples allows the entrepreneur to use the electronic signature of Portal Gov.br, accessible in 24 commercial boards in the country. This technology allows citizens to sign documents electronically, without signature recognition or acquisition of a digital certificate, when interacting with public bodies.

regulated by Law 14,063, from 2020, the electronic signature is available to those who have a silver or gold identification level on the Gov.br Portal. This level of identification requires face validation by the Gov.br application or the linking of the Login from the portal with an account from the following accredited banks: Banco do Brasil, Caixa, Sicoob, Bradesco, Santander, BRB and Banrisul.

In addition to quickly granting the CNPJ number, Inova Simples allows the sharing of information with Redesim members. It also dispenses with the use of a digital certificate, and the entrepreneur can use the electronic signature of Gov.br.

One Stop Shop

The simplified procedure for starting a business is being extended to other types of business. In January, Balcão Único was expanded for 17 state boards of trade.

The technology, which unites information from the Union, states and municipalities, allows the company to register and obtain the CNPJ through a single digital form available on the internet. The Ministry of Economy’s Special Secretariat for Debureaucratisation, Management and Digital Government intends to extend Balcão Único to the entire country by the end of the year.
