Shareholders of the Dominican Medical Center demand payment

Several shareholders of the Dominican Medical Center denounced this Tuesday that two investors had appropriated Actions of the clinic fraudulently and that they immediately took control of the center, acquired a loan worth 280 million pesos from a recently formed company and irregularly put 11 clinic properties as collateral for a value of more than 2,200 million of pesos.

The complainants pointed out that the doctors were responsible for the alleged fraud. Alejandro Arnaldo Dominguez Brito and Rudis Rafael Guerrero Guerrerowho for the transaction would have used the company Teradata Technology 15, LLCwhich, supposedly, does not have a financial history.

They assured that with the 280 million pesos they paid, for their own benefit, fifty percent of the Actions irregularly obtained and three years later they still have not paid the remaining fifty percent.

They explained that, with the conventional mortgage of all the properties belonging to the medical center, Domínguez Brito and Guerrero Guerrero seek an indirect appropriation of the clinic, using intermediary people and without having invested money from his personal assets.

The complainants are the doctors: Sonia Ramírez, Secundino Ramírez, María Ernestina Marmolejos, Elizabeth Tezanos, Yamina Ogando, Pilar Rodríguez, Daniela Guerrero, Iluminada Grullón, Miladys Marzán, Ernesto Carrasco, Ana Reyes, Juan Sánchez, Mildred de la Cruz, Tania Zorrilla , Jose A. Estévez, César Beras, Elvira Díaz, Pedro Marmolejos, Luis Pichardo, Emil Fernández, Lissette Vásquez, Margarita Melo, Elba Gil, Carmen Santana, Ramón C. Sosa, Dimas Read, Karina Read, Rocío Caridad, Soraya Mejía, Rosa Pena and Pedro Gonzalez.

They maintained that, as a consequence of the irregular actions of Domínguez Brito and Guerrero Guerrero, they found themselves forced to sue in rendering of account, annulment of payment order, annulment of conventional mortgage, litigation over registered rights and in appointment of a judicial administrator as a way to prevent the aforementioned doctors from specifying the intention of harming traditional creditors of the Dominican Medical Centerto others shareholders and the employees with the consummation of a real estate seizure, from which the members of the Board of Directors have not even defended themselves as a way of facilitating the rapid execution of the Dominican Medical Center.

They stated that doctors Domínguez Brito and Guerrero Guerrero have committed their criminal responsibility to others shareholders and have violated several articles of Law 479-08 on Commercial Companies, for which reason they did not rule out legal action, in their personal capacity, against said gentlemen for having greatly affected, in economic, administrative and financial terms, the Dominican Medical Center.

Through a press release, the complainants explained that a judicial administrator of the clinic was appointed, who is in the process of being sworn in by the Civil and Commercial Chamber of the Court of Appeal of the National District, for which reason the president and vice president of the Board of directors, Alejandro Arnaldo Dominguez Brito and Rudis Rafael Guerrero Guerrerothey must refrain from taking any action to the detriment of the clinic because from a legal point of view they do not have the legal power to make decisions, above all, because during their management they have not rendered an account to others shareholders.

“They have not held ordinary or extraordinary assemblies; Strategic areas have been closed, such as the emergency room, clinical laboratory, imaging, operating rooms, nursing, hospitalization areas, leaving more than four hundred administrative workers, nurses and technicians unemployed, as well as one hundred and thirty-two medical specialists, seeking a systematic deterioration of the medical center to facilitate its judicial execution and the consequent transfer of the total patrimony”, the document cites.

The complainants called on the central government to intervene with financial support in the recovery of the Dominican Medical Centerso that it can continue to operate, but under “correct administration”.

Council President says look for alternatives

Free Daily spoke with Dr. Domínguez Brito, who stated “they are working to find an investor to make a capitalization and failing that, the State, which is also interested.”

The doctor recognized that it is a delicate situation and reiterated his interest in “finding solutions.”

“It is more complex, unfortunately, doctors know a lot about medicine but not about other things”, he said over the phone.

Domínguez Brito assured that they acted “under all laws and transparency.”

“Teradata is an international company, its headquarters are in Mexico. There it was all done by the book and all under a trust,” he commented.

He accepted that for two years the others have not been paid shareholders “Because the coronavirus fell and the center, due to the coronavirus, had a deficit of more than six million pesos per month and that is why areas had to be closed, that is the reality.”

The doctor indicated that the purchase of Actions was carried out approximately three years ago, but that the institution accumulated other debts in the last eight or nine years.

“They are relying on false information, that is not real,” he responded with reference to the press release sent by the shareholders.

“Personally, I put all my assets from 30 years of work. Teradata comes a year later… We personally bought those Actions. There are a lot of misinformation,” she added.

The radiologist doctor was repetitive in saying that he is focused on solving this situation because “there are 160 doctors that must be saved”, a situation that also affected more than 400 employees who worked there.

“I have a personal challenge with that,” said Domínguez Brito.

“Teradata lends the money so that it does not close at the time, which by the way, that company has behaved very well with the Dominican Medical Center”, he said, detailing that they have been benevolent, paralyzing the collection of arrears and granting a period of three months to find alternatives.

“My position is to pay, because I am not a thief,” he said.

He also explained that at the time of purchase of the Actions Two options were raised: either disburse the total payment and close the clinic or pay 50% and lend the remaining money to the medical center to reinvest it, an alternative that, based on consensus, was finally decided.

“We are working to comply, in which the center lives, it is a social necessity, it is a great business for those who have the capital,” concluded Domínguez Brito.
