Telefónica Hispanoamérica sells telephone from Peru to Integra Tec per s/3.7 million

Telefónica Hispanoamérica SA (“Telefónica Hispam”) has sold today to Integra Tecinternational Inc (“Integra Tec”) the totality of its shareholding in Telefónica del Perú (“TDP”) for the sum of S/3.7 million.

As a product of this transaction, Integra Tec has acquired the control of TDP, maintaining the focus on guaranteeing the uninterrupted benefit of telecommunications services to the more than 13 million clients of the company in urban and rural areas of the country.

Additionally, as part and within the framework of the transaction, Telefónica Hispam has sold to the same buying entity the financial credits against TDP derived from the commercial credit contract dated February 14, 2025 (credit). Both parties have agreed to keep available to TDP the total non -arranged amount of the credit of S/1,549 million, whose disbursements will be made in part by Telefónica Hispam and partly by Integra Tec.

The signature and closing of the transaction took place simultaneously today. The price of the sale of shares and credit is approximately S/3.7 million Peruvian soles, which has been determined considering the situation of Telefónica del Perú and the context of the agreement reached. This agreement allows TDP to continue providing services to Peruvian homes and companies.

The new shareholder has extensive experience in Latin America, in telecommunications, public services, media, chemistry and natural resources industries, as well as in the recovery of companies in financial difficulties and special situations. The objectives of the new shareholder are the maintenance and expansion of the service, the restructuring of the company’s debt within the framework of the PCO and the establishment of a sustainable business plan with a solid capital structure. INTEGRA TEC proposes to work in a friendly way with creditors, suppliers, workers, the government of Peru and all parties related to TDP.

Integra Tec has appointed Germán Ranftl as a new directory president, who will lead the restructuring process. With the objective of supporting the stability of the operation, the new shareholder has the current TDP management team, led by Elena Maestre.

The transaction involves the indirect transfer of control over the actions that TDP holds in the Rural Internet operator for all (IPT).

Since 1994, Telefónica has been present in Peru, contributing to the development of the country and actively accompanying its transformation. TDP has been a key actor in the integration of the territory, connecting more Peruvians, promoting digitalization and reaffirming, day by day, its commitment to progress. Through connectivity initiatives in rural areas, digital education programs and technological renewal, it has managed to reduce gaps and generate greater opportunities for the whole society.
