The National Supplementary Health Agency (ANS) approved, with restrictions, the incorporation of Sul América by Rede D’Or São Luiz SA The operation was under analysis by the regulatory agency for eight months and was approved today (19), upon compliance with measures to ensure consumer protection.
Among the conditions required by the ANS for authorization of the merger are those that determine that the representative of Rede D’Or São Luiz SA on Qualicorp’s Board of Directors abstains from voting on matters that deliberate exclusively on the operators of the Sul América conglomerate and that the Qualicorp benefit administrator does not sell exclusively the health plans of the operators of the Sul América conglomerate.
It was also determined that the plans of the Sul América conglomerate are not marketed only by the Qualicorp benefits administrator. In addition, measures for the economic and financial recovery of the company belonging to the Paraná Clínicas conglomerate should not be carried out within 30 days from today. The operation must be monitored for two years from its approval, and the ANS may request reports to support the monitoring of the regulator.
The ANS clarified that the operation does not involve financial disbursements, but only the exchange of shares, and had already been approved by the Administrative Council for Economic Defense (CADE) of the Ministry of Justice and Public Security on November 7 of this year.
The Sul América conglomerate is composed of the operators Sul América Companhia de Seguro Saúde (ANS Registration 006246), Sul América Odontológico SA (ANS Registration 417815), Paraná Clínicas – Planos de Saúde SA (ANS Registration 350141) and Sul América Seguradora de Saúde SA (ANS Registration 350141) ANS Registration 000477).
