The Public Ministry opened an investigation regarding alleged irregularities in the sale of the Farma Express chain, according to file MP-197923-2024 to which we had partial access.
The investigation began as a result of publications on social networks stating that the Maraplus chain had acquired the FarmaExpress Bella Vista and Indio Mara pharmacies, located in Maracaibo, Zulia, allegedly assuming their debts with suppliers and workers.
Despite this, official commercial documents to which we had partial access reveal a very different background, with contradictory dates, symbolic prices and possible corporate simulation maneuvers.
According to the Third Commercial Registry of the State of Zulia, the first sale of Super Faraexpress 24 Bella Vista CA would have taken place on February 10, 2025, when citizens Sahar Boudakka El Safadi and Aysar Al Hamdan Mogollón declared that they had transferred 100% of the shares to Wael El Yaber El Mella for a symbolic amount of Bs. 100,000.00.
However, that operation was only registered eight months later, on October 1, 2025, according to documents, which immediately raised suspicions about the retroactivity of the transaction and its real purpose.
Although the alleged sale dated back to February, the same citizens continued to act publicly as representatives of the company during the following months, allegedly signing documents and carrying out procedures on behalf of FarmaExpress Bella Vista, which contradicts the narrative of an effective transfer.
But the most striking fact came later. In the same registry there are new corporate documents dated in February and September, but presented at the end of October 2025, where an alleged second sale of shares is evident, this time with the intervention of the same people already linked to the first operation, according to the documents.
These minutes repeat exactly the same format, with the same wording and the same actors, and present a revealing error: in their header they say “February 2025”, but in their closing they appear as signed in “September 2025”.
Commercial law specialists consulted explain that this inconsistency breaks the certainty of the document, since it makes it impossible to determine when the act actually occurred, which constitutes ideological falsehood, according to legal regulations.
Furthermore, the fact that both operations were recorded months apart and under an identical pattern may be an indication of corporate simulation or an attempted commercial cover-up, experts say.
On the other hand, in the documents analyzed there is no reference to a direct sale to Maraplus, nor is there evidence of judicial or administrative authorization that supports the acquisition alleged in the viral video, as so far preliminarily evaluated by the Public Ministry.
Until now, the formal ownership of the companies continues in the hands of those who appear in the commercial entries, and there is no documentary evidence of an actual transfer to Maraplus.
